LICH, WHICH AS of MAY 2011, CEASED OPERATIONS AS A HOSPITAL WHEN IT CLOSED ON AN ASSET PURCHASE AGREEMENT ("APA") WITH THE STATE UNIVERSITY of NY AT DOWNSTATE. IN ACCORDANCE WITH THE APA, LICH RETAINED CASH and PATIENT RECEIVABLES IN ORDER to PAY DOWN ACCOUNTS PAYABLE and ACCRUED EXPENSES, WHICH ALSO REMAINED AT LICH. THE ORGANIZATION CONTINUES to SUPPORT LICH AS APPROPRIATE IN CONNECTION WITH THIS. THIS CORPORATION is NOT A HOSPITAL or A FACILITY PROVIDING HEALTH-RELATED SERVICE & WILL NOT SOLICIT CONTRIBUTIONS for A HOSPITAL or A FACILITY PROVIDING HEALTH-RELATED SERVICES AS DEFINED IN ARTICLE 28
